Resolutions of the Management Board and the Supervisory Board concerning the “Capital Management Strategy of mBank Group” regarding change of the Dividend Policy The Management Board of mBank S.A. ("Bank") informs that on September 17, 2025, it decided to update the “Capital management strategy of mBank Group”, which was approved by the Bank’s Supervisory Board on the same day. The document assumes that no dividend will be paid out from the net profit earned by the Bank in 2025, in accordance with the current report no. 62 dated December 13, 2024. In the upcoming years, the aim of the Bank is to allocate capital to profitable growth of the loan book while excess capital shall be paid out to the shareholders in the form of dividend. Accordingly, the Bank decided to revise its previous long-term dividend policy stipulating a dividend payout ratio of 50%, communicated in the current report no. 62 dated December 13, 2024. The Bank’s current goal is to regularly pay out dividends starting from 30% of net profit generated in 2026. The Bank strives to gradually increase dividend payout ratio, with a strategic goal of reaching a 75% dividend payout ratio for net profit generated in 2030. The adopted dividend policy will support effective capital utilization, ensuring the optimal balance between profitable business growth, safe and stable capital buffers above the regulatory minima and satisfying profitability metrics. The final dividend ratio will depend on further developments in the Bank's regulatory and operating environment and the decisions of the Polish Financial Supervision Authority. |
