The Management Board of mBank S.A. ("|the Bank"|) hereby states that on 23 July 2020 it received information that on 14 July 2020 the Polish National Depository for Securities S.A. (&ldquo|KDPW&rdquo|) conditionally registered 7,826 ordinary bearer&rsquo|s shares in the Bank with face value of PLN 4 per share, issued pursuant to Resolution No. 38 of the 31st Ordinary General Meeting of the Bank of 9 May 2018 re. the Issue of Subscription Warrants, Conditional Share Capital Increase with Divestment of the Existing Shareholders&rsquo| Pre-emptive Right to Subscription Warrants and Shares, Change of the Company&rsquo|s By-Laws and on Applying for Admission of Shares to Trading on the Regulated Market, and Dematerialisation of Shares, and assigned code PLBRE0000012 to them.

The registration is conditional upon introducing the above-mentioned shares into trading on the same regulated market where other shares in the Bank have been introduced and marked PLBRE0000012.

The above-mentioned Bank shares will be registered with KDPW within three days from day in which KDPW receives the decision regarding introduction of the Bank shares on the same regulated market where other Bank shares marked PLBRE0000012 have been introduced by the Bank, however not earlier than on the day defined in the same decision as the date of introduction of the said shares into trading on the market in question.
