The Management Board of mBank S.A. with its registered office in Warsaw ("|Bank"|) informs that on 13 October 2020 it adopted the resolution ("|Resolution"|) on the liquidation of the subsidiary mFinance France SA ("|mFinance"|), in which the Bank holds 100% of shares and 100 % of votes in the share capital. The Resolution enters into force on the day of its adoption.

The liquidation of mFinance will take place after fulfilling all necessary procedures according to relevant provisions of law. The Bank will inform about the completion of the company's liquidation process in a separate current report.

The liquidation of mFinance is a consequence of actions taken by the Bank's Management Board to simplify the organizational structure of the Bank's capital group.
