| With reference to reports RB 5/2010 dated 17 February 2010 and RB 29/2012 dated 30 May 2012, the Management Board of mBank S.A. (&ldquo|Bank&rdquo|) hereby announces the changes in the trustee and the issue agent for: &bull| registered C series bonds with preemptive right to take up ordinary bearer shares of mBank S.A. &bull| registered D series bonds with preemptive right to take up ordinary bearer shares of mBank S.A. The face value of each of the aforementioned bonds is PLN 0.01. On 11 May 2016 IPOPEMA Securities S.A. became the new trustee and an issue agent for the aforementioned bonds. As of 11 May 2016 Dom Maklerski mBanku S.A. ceased to play the role of the trustee and an issue agent for the aforementioned bonds. This change results from reorganisation of the brokerage services area at mBank Group. Implementation of the process of integration of Dom Maklerski mBanku S.A. with mBank and the related legal conditions resulted in the need to find a new trustee and an issue agent to service incentive programmes based on mBank&rsquo|s shares addressed to the members of the management board and employees. Therefore, on 11 May 2016 Dom Maklerski mBanku S.A. transferred for consideration to IPOPEMA Securities S.A. 429,561 of the aforementioned registered C series bonds and 643,597 registered D series bonds for a total price of PLN 10,731.58, PLN 0.01 per bond. |
