In connection with the registration on 29 July 2014 by the National Depository for Securities (KDPW) of 31,844 shares of mBank S.A. ("|Bank"|), the Bank's Management Board announces that as a result of the aforementioned registration the Bank's share capital increased as at 29 July 2014 by the amount of PLN 127,376.

At present, the Bank's share capital amounts to PLN 168,829,608 and is divided into 42,207,402 ordinary registered and bearer shares with nominal value of PLN 4 per share. At present, the number of votes at the Bank&rsquo|s General Meeting is 42,207,402.

The aforementioned shares were issued based on:

Resolution No. 21 of the 21st Ordinary General Meeting of the Bank dated 14 March 2008 on issuing bonds with pre-emptive right to take up shares of mBank S.A., and on the conditional increase of the share capital through issue of shares with exclusion of the subscription right of the existing shareholders in order to enable persons participating in the incentive programme to take up the shares of mBank S.A., and on applying for admission of the shares to trading on the regulated market, and on dematerialisation of the shares.

Resolution No. 3 of the 16th Extraordinary General Meeting of the Bank dated 27 October 2008 on issuing bonds with pre-emptive right to take up shares of mBank S.A. and conditional share capital increase by way of issuing shares waiving the pre-emptive rights of the existing shareholders in order to allow the participants of the employee incentive programme to take up the Bank's shares, and on application for admission of the shares to trading on the regulated market and dematerialisation of the shares.
