Current Report No. 6/2014 In connection with the registration on 10 January 2014 by the Central Securities Depository of Poland (KDPW) of 1,545 shares of mBank S.A. (Bank"), the Bank's Management Board announces that as a result of the aforementioned registration the Bank's share capital increased as at 10 January 2014 by the amount of PLN 6,180. At present, the Bank's share capital amounts to PLN 168,702,232 and is divided into 42,175,558 ordinary registered and bearer shares with the nominal value of PLN 4 per share. At present, the number of votes at the Bank’s General Meeting is 42,175,558. The aforementioned shares have been issued pursuant to Resolution No. 3 of the 16th Extraordinary General Meeting of the Bank of 27 October 2008 on issuing bonds with the pre-emptive right to take up shares of mBank S.A., and on the conditional increase of the share capital through issue of shares with exclusion of the subscription right of the existing shareholders with a view to enable persons participating in the incentive programme to take up the shares of mBank S.A., and on applying for admission of the shares to trading on the regulated market, and on dematerialisation of the shares."
