| The mBank S.A. (the &ldquo|Bank&rdquo|) Management Board informs that it obtained information on the registration of increase in share capital of the Bank by the District Court for the Capital City of Warsaw. On 26 February 2014, the District Court for the Capital City of Warsaw registered the increase of the share capital of the Bank. At present the Bank&rsquo|s share capital amounts to PLN 168,702,232 and is divided into 42,175,558 shares of nominal value of PLN 4 each, and the total number of votes at General Meeting amounts to 42,175,558. The aforementioned registration made by the Court reflects only the amount of the Bank&rsquo|s share capital as of 10 January 2014, and it took place as a consequence of the registration of 1,545 Bank&rsquo|s shares by the Central Securities Depository of Poland (KDPW) on 10 January 2014. The aforementioned shares were issued under the Resolution No 3 of XVI Extraordinary General Meeting of the Bank of 27 October 2008 on the issue of shares with priority rights with respect to the acquisition of shares of mBank S.A. and conditional increase of the share capital by way of share issue excluding pre-emptive rights of existing shareholders in order to allow persons participating in employee option plans to acquire shares of the Bank and on admission of the shares to trading in the regulated market and dematerialization of shares. |
