With reference to the current report No 26/2012 of 13 April 2012, concerning the Agreement on the Eurobond Issue Program of 12 April 2012, the Management Board of mBank S.A. (&ldquo|Bank&rdquo|) informs that on 14 March 2014 mFinanceFrance S.A. (previously BRE Finance France S.A.| Bank's subsidiary, the Bank holds 99.97% interest in share capital of mFinance France S.A.) acting as an issuer and Bank acting as an underwriter, concluded an updated agreement on Eurobond Issue Program (Euro Medium Term Notes EMTN) (the "|Program"|), increasing the maximum amount of the Program from EUR 2,000,000,000 (equivalent of PLN 8,466,800,000 according to average exchange rate of the NBP of 14 March 2014) to EUR 3,000,000,000 (equivalent of PLN 12,700,200,000 according to average exchange rate of the NBP of 14 March 2014). The Program shall enable the issuer to issue debt securities in many tranches and currencies with a various interest structure. The Luxembourg Stock Exchange allowed the Program to be listed. Debt securities shall be unconditionally and irrevocably underwritten by the Bank. The Bank has undertaken to underwrite all payments to be made for the debt securities issued under the Program. The guarantee was extended for the period of the Program. The guarantee shall not provide for a separate remuneration for mBank. The contract provides for no contractual penalties and it does not include any conditions precedent nor termination conditions. The Underwriter of the Issue Program shall be Commerzbank AG, and the dealers shall be: Barclays Bank PLC,Commerzbank AG, Credit Suisse Securities (Europe) Limited, Deutsche Bank AG London Branch, DZ Bank AG Deutsche Zentral-Genossenschaftsbank Frankfurt Am Main, Erste Group Bank AG, HSBC Bank PLC, J.P. Morgan Securities PLC, Merrill Lynch International, UBS Limited i UniCredit Bank AG. Proceeds from the issue of debt securities shall be transferred by the issuer to the Bank, as the issue underwriter in the form of security deposit. These funds shall be used to finance the day-to-day banking operations of the Bank. The value of the aforementioned agreement exceeds 10% of mBank&rsquo|s equity.
