| The Management Board of mBank S.A. (the "|Bank"|) announces that it obtained information on registration of a share capital increase by the District Court for the Capital City of Warsaw. On 19 October 2016, the District Court for the Capital City of Warsaw registered an increase to PLN 169,015,724 in the share capital of the Bank. The court registration reflects the amount of the Bank's share capital as at 20 July 2016 and was a consequence of registration by KDPW (Central Securities Depository of Poland) of 15,007 shares of the Bank on 20 July 2016. The aforementioned shares were issued based on: &bull| | | |Resolution No. 21 of the 21st Annual General Meeting of the Bank dated 14 March 2008 on issuing bonds with pre-emptive right to take up shares of mBank S.A., and on the conditional increase of the share capital through issue of shares with exclusion of the pre-emptive right of the existing shareholders in order to enable the participants of the incentive programme to take up the mBank S.A. shares, and on applying for admission of the shares to trading on the regulated market, and on dematerialisation of the shares. &bull| | | |Resolution No. 3 of the 16th Extraordinary General Meeting of the Bank dated 27 October 2008 on issuing bonds with pre-emptive right to take up shares of mBank S.A. and conditional share capital increase by way of issuing shares with exclusion of the pre-emptive right of the existing shareholders in order to enable the participants of the employee incentive programme to take up the Bank's shares, and on application for admission of the shares to trading on the regulated market, and on dematerialisation of the shares. As of 17 October 2016, i.e. the date of registration by the Central Securities Depository of Poland of 872 shares of the Bank issued as part of the aforesaid programme, the share capital of the Bank amounts to PLN 169,120,508 and is divided into 42,280,127 ordinary registered and bearer shares with a nominal value of PLN 4 per share. At present, the number of votes at the Bank&rsquo|s General Meeting is 42,280,127. |
