Legal basis: | With reference to the current report No. 47/2020 of August 26, 2020, the Management Board of mBank S.A. with its registered office in Warsaw ("|Bank"|) informs that on August 31, 2020 it received information that the Supervisory Board of the Bank adopted in circular mode a resolution dated August 27, 2020, in which it agreed to: The substitution from mFinance France (&ldquo|mFinance&rdquo|) to the Bank as issuer in respect of the Notes (the &ldquo|Substitution&rdquo|). As a result of the Substitution obligations of mFinance to the noteholders will be extinguished and replaced by identical obligations of the Bank to the noteholders. The netting of mutual payments between mFinance and Bank under the Substitution (the &ldquo|Offset&rdquo|) The Supervisory Board of the Bank approves the Bank taking any actions that are necessary or useful for executing the Substitution and the Offset. In view of the above, the resolution of the Management Board of the Bank of August 25, 2020 enters into force.
