| The Management Board of mBank S.A. announces that Dom Maklerski mBanku S.A. ("|MDM"|), a subsidiary of mBank S.A., on 9 June 2014 sold 1,453 C series bonds with a pre-emptive right issued by mBank S.A. under the employee incentive programme for members of the Management Board of mBank S.A. implemented based on Resolution No. 20 and 21 of the Ordinary General Meeting of mBank S.A. of 14 March 2008 ("|Programme"|). 1,453 C series bonds with pre-emptive right issued by mBank S.A. under the Programme had been purchased by MDM due to allocation of the bonds to MDM as a trustee. The aforementioned bonds were sold by MDM to eligible persons in order to grant them the pre-emptive right to take up ordinary bearer shares of mBank S.A. which will be issued under the Programme. The average sale price of a single bond is PLN 0.01. At the same time, on 9 June 2014, mBank S.A. redeemed the aforementioned bonds from the eligible persons within the framework of the Programme in the total amount of 1,453. Provisions of Resolution No. 21 of the Extraordinary General Meeting of mBank S.A. of 14 March 2008 formed the basis for the redemption of the aforementioned bonds from the eligible persons as part of the Programme. The bonds were redeemed at a price of PLN 0.01 per bond, and the bonds were redeemed by mBank S.A. for the purpose of their cancellation. On 9 June 2014, within the framework of the Programme, mBank S.A. remitted all the 1,453 bonds. |
