| The Management Board of mBank S.A. announces that on 5 October 2016 IPOPEMA Securities S.A. sold 310 D-series bonds with pre-emptive right issued by mBank S.A. under the incentive programme for key staff of mBank S.A. Group implemented based on Resolutions No. 2 and No. 3 of the Extraordinary General Meeting of mBank S.A. of 27 October 2008 (&ldquo|Programme&rdquo|) 310 D-series bonds with pre-emptive right issued by mBank S.A. under Programme were purchased by IPOPEMA Securities S.A. from Dom Maklerski mBanku S.A. after IPOPEMA Securities S.A. had assumed the role of a new trustee and issuance agent of the bonds. The aforementioned bonds were sold by IPOPEMA Securities S.A. to eligible persons in order to grant them the pre-emptive right to take up ordinary bearer shares of mBank S.A. which will be issued under Programme. The average sale price per bond is PLN 0.01. At the same time, on 5 October 2016, mBank S.A. redeemed a total of 310 bonds from persons eligible under Programme. The redemption of the bonds from persons eligible under Programme was based on Resolution No. 3 of the Extraordinary General Meeting of mBank S.A. of 27 October 2008. Under Programme, mBank S.A. redeemed the bonds at the price of PLN 0.01 per bond in order to annul them. On 5 October 2016, under Programme, mBank S.A. annulled all 310 bonds. |
