The increase of the share capital of BRE Bank as a result of registration of the Bank's shares by KDPW

Current report No. 51/2012In connection with the registration on 11 July 2012 by the National Depository for Securities (KDPW) of 30.760 shares of BRE Bank SA (the "Bank"), the Bank's Management Board announces that as a result of the aforementioned registration the Bank's share capital increased as of 11 July 2012 by the amount of PLN 123,040.At present, the Bank's share capital amounts to PLN 168.534.024 and is divided into 42.133.506 ordinary bearer shares with the nominal value of PLN 4 per share. The overall number of votes at the Bank’s General Meeting is currently 42.133.506.The aforementioned shares are issued as part of conditional increase of the Bank's share capital on the basis of:• Resolution No. 21 of the 21st Ordinary General Meeting of the Bank dated 14 March 2008 on issuing bonds with the pre-emptive right to take up shares of BRE Bank SA, and on the conditional increase of the share capital  through issue of shares with exclusion of the subscription right of the existing shareholders with a view to enable persons participating in the incentive programme to take up the shares of BRE Bank SA, and on applying for admission of the shares to trading on the regulated market, and on dematerialisation of the shares. The said shares are registered based on Resolution No. 447/10 of the Management Board of the KDPW dated 26th July 2010.• Resolution No. 3 of the 16th Extraordinary General Meeting of the Bank dated 27 October 2008 on issuing bonds with the pre-emptive right to take up shares of BRE Bank SA, and on the conditional increase of the share capital through issue of shares with exclusion of  the subscription right of the existing shareholders with a view to enable persons participating in the incentive programme to take up shares of BRE Bank SA, on applying for admission of the shares to trading in the regulated market, and on dematerialisation of the shares.
