Resolution of the Supervisory Board regarding consent to the issuance of Additional Tier 1 (AT1) instruments

mBank S.A. (the “Bank”) informs that on 17 September 2026 the Supervisory Board adopted a resolution regarding its consent to the issuance of Additional Tier 1 capital instruments ("AT1 Notes"). AT1 Notes are intended to meet the eligibility criteria for qualification as Additional Tier 1 instruments set out in Article 52 of Regulation (EU) No 575/2013 of the European Parliament and of the Council of 26 June 2013 on prudential requirements for credit institutions and amending Regulation (EU) No 648/2012 (the “CRR Regulation”), and the requirements referred to in Article 440(2)(9) of the Polish Bankruptcy Law Act of 28 February 2003. The AT1 Notes shall be perpetual instruments with no specified maturity date; however, the terms and conditions of the AT1 Notes may provide for redemption at the option of the Bank. Upon the occurrence of a trigger event specified in the terms and conditions of the AT1 Notes, the Bank shall apply a temporary write-down of the principal amount of the AT1 Notes. The terms and conditions shall not provide for the conversion of the AT1 Notes into shares of the Bank upon the occurrence of a trigger event. The AT1 Notes shall be denominated in euro (EUR). The AT1 Notes will be governed by English law, subject to certain provisions governed by Polish law. The launch of the AT1 Notes issuance process will depend on prevailing market conditions. The interest rate as well as the final total nominal value of the AT1 Notes, will be determined on the basis of investor interest in the course of the book-building process, provided that the final total nominal value will not exceed EUR 250,000,000. The nominal amount of each AT1 Note will be no less than EUR 100,000. The Bank shall seek admission of the AT1 Notes to trading on the regulated market of the Luxembourg Stock Exchange. In respect of the issuance of AT1 Notes, the Bank intends to apply to the Polish Financial Supervision Authority for permission to recognise the AT1 Notes as the Bank’s Additional Tier 1 instruments pursuant to Article 52 of the CRR Regulation and Article 127 of the Banking Law Act of 29 August 1997. The proceeds from the AT1 Notes may also be used by the Bank to meet the minimum requirement for own funds and eligible liabilities (MREL) referred to in Article 97(1) of the Act of 10 June 2016 on the Bank Guarantee Fund, the Deposit Guarantee Scheme and Resolution.
