Invitation to Negotiate

mBank S.A. with its registered office in Warsaw, ul. Prosta 18, 00-850 Warszawa, entered in the register of entrepreneurs of the National Court Register under number KRS 0000025237, whose registration documents are kept by the District Court for the Capital City of Warsaw in Warsaw, 13th Commercial Division of the National Court Register, holder of tax identification number NIP 5260215088 and statistical number REGON 001254524, with its fully paid-up share capital amounting to PLN 169,539,536.00 (the “Bank”), acting in accordance with the Act of 3 February 1993 on Financial Restructuring of Enterprises and Banks and on Amending Certain Other Acts (uniform text: Journal of Laws of 2018, item 1439, as amended)


invites all interested parties to negotiations


on the sale of due receivables of the Bank in the principal amount of EUR 14,829,000 as at 15 March 2022, plus interest and incidental receivables, owed to the Bank from Poznańska 37 SPV sp. z o.o. with its registered office in Warsaw, ul. Poznańska 37, 00-689 Warszawa, KRS 0000487729, NIP 5213658281, REGON 146916830, with its share capital of PLN 5,000.00 (the “Debtor”).


The receivables are secured, among others, by a joint contractual mortgage on real properties located in Warsaw, ul. Poznańska 37, for which the District Court for Warszawa-Mokotów in Warsaw, 10th Land and Mortgage Register Division keeps land and mortgage registers no. WA4M/00053614/8, WA4M/00136173/0 and WA4M/00117529/2.
The Bank will enter into negotiations with legal persons and organisational units with legal capacity granted by law which will respond to this invitation within 30 calendar days from its announcement, i.e. by 16 March 2022, by providing the following data to the Bank:

  • name (first name and surname), registered office (address), legal status (including information on the register in which the entity is registered and the registration number) and contact details (email address and phone number) of the party submitting a response;
  • statement of the party submitting a response confirming that it is not in a relationship of dependence or dominance with the Debtor within the meaning of the Act of 29 July 2005 on Public Offering and Conditions for Introducing Financial Instruments to Organised Trading and on Public Companies (uniform text: Journal of Laws of 2021, item 1983, as amended); and
  • response date; first names, middle names, surnames and positions of the representatives signing the response.

Interested parties can submit their responses in a sealed envelope marked “Rokowania Poznańska” to the Bank’s head office in Warsaw (Departament Restrukturyzacji Klientów Korporacyjnych, ul. Prosta 18, 00-859 Warszawa) or email them in electronic form with qualified electronic signatures to sprzedazWKS@mbank.pl.


Every party who will express interest will be notified by the Bank (in an email sent to the address provided in the response) that it has been accepted (or not) to participate in negotiations, within 10 calendar days upon receipt of the response.


The parties interested in participating in the sales process are free to ask the Bank questions via email (sprzedazWKS@mbank.pl). Any information on the receivables will be provided upon signing a non-disclosure agreement.


The Bank reserves the right to: (i) accept responses and select offers at its own discretion, (ii) close the process without selling the receivables at any time before concluding a receivables transfer agreement, (iii) withdraw from the negotiations, also after the buyer has been selected, in any case without giving reasons.
