mBank S.A. with its registered office in Warsaw, ul. Prosta 18, 00-850 Warszawa, entered in the register of entrepreneurs of the National Court Register under number KRS 0000025237, whose registration documents are kept by the District Court for the Capital City of Warsaw in Warsaw, 13th Commercial Division of the National Court Register, holder of tax identification number NIP 5260215088 and statistical number REGON 001254524, with a fully paid-up share capital in the amount of PLN 169,539,536.00 (the “Bank”), acting in accordance with the Act of 3 February 1993 on the Financial Restructuring of Enterprises and Banks and the Amendment of Certain Other Acts (consolidated text: Journal of Laws of 2018, item 1439, as amended)

invites all interested parties to negotiations

regarding the sale of the due receivables of the Bank in the principal amount of EUR 14,829,000 as at 15 March 2022, plus interest and incidental receivables, owed to the Bank by Poznańska 37 SPV sp. z o.o. with its registered office in Warsaw, ul. Poznańska 37, 00-689 Warszawa, KRS 0000487729, NIP 5213658281, REGON 146916830, with a share capital of PLN 5,000.00 (the “Debtor”), of which the Bank originally informed in the announcement published on 16 March 2022.

The receivables are secured by, among other things, a joint contractual mortgage on real properties located in Warsaw an ul. Poznańska 37, for which the District Court for Warszawa-Mokotów in Warsaw, 10th Land and Mortgage Register Division keeps land and mortgage registers nos. WA4M/00053614/8, WA4M/00136173/0, and WA4M/00117529/2.
The purpose of this announcement is the updating of the deadline by which interested parties may submit responses regarding their participation in the negotiations. The Bank will enter into negotiations with legal persons and organisational units with legal capacity granted by law which respond to this invitation by 16 May 2022, by submitting a response to the Bank containing the following data:

• the name (first name and surname), registered office (address), legal status (including information on the register in which the entity is registered and the registration number) and contact details (e-mail address and phone number) of the party submitting a response;
• a statement of the party submitting the response confirming that it is not in a relationship of dependence or dominance with the Debtor within the meaning of the Act of 29 July 2005 on Public Offering and Conditions for Introducing Financial Instruments to Organised Trading and on Public Companies (consolidated text: Journal of Laws of 2021, item 1983, as amended); and
• the date of the response; first and middle names (if any), surnames and positions of the persons  signing the response.

Interested parties can submit their responses in a sealed envelope marked “Rokowania Poznańska” to the Bank’s head office in Warsaw (Departament Restrukturyzacji Klientów Korporacyjnych, ul. Prosta 18, 00-859 Warszawa) or e-mail them in electronic form with qualified electronic signatures to sprzedazWKS@mbank.pl.

Every party that expresses an interest to participate in the negotiations will be notified by the Bank (by way of an e-mail sent to the address provided in the response) that it has been accepted (or not) to participate in the negotiations, within 10 calendar days of receipt of the response.

Parties interested in participating in the sale process are free to ask the Bank questions via e-mail by sending them to the following e-mail address: sprzedazWKS@mbank.pl. Any information regarding the receivables will be provided after the prior signing of a non-disclosure agreement.

The Bank reserves the right to: (i) accept responses and select offers at its own discretion, (ii) close the process without selling the receivables at any time before a receivables transfer agreement is concluded, (iii) withdraw from the negotiations, also after a buyer has been selected, in any case without giving reasons.
