financial statements of BRE Bank SA for 2010, verified by the statutory auditor, containing:a) the profit and loss account for the financial year from 1 January to 31 December 2010, showing a net profit in the amount of  PLN 517,724 thousand,b) balance sheet drawn up as at 31 December 2010, showing the total assets and liabilities totalling PLN 83,520,654 thousand,c) statement of movements in equity for the financial year from 1 January to 31 December 2010, showing an increase in equity by an amount of PLN 2,717,332 thousand,d) cash flow statement for the financial year from 1 January to earmarked for:1. in the amount of PLN 60,000 thousand for the general banking risk fund;2. in the amount of PLN 457,724 thousand for the reserve capital of the Bank.Article 2The dividend for 2010 will is resolved as follows:Article 1The consolidated financial statements of the BRE Bank Group for 2010, verified by the statutory auditor, containing:a) consolidated profit and loss account for the financial year from 1 January to 31 December 2010 showing a net profit amounting to PLN 660,865 thousand,b) consolidated balance sheet drawn up as at 31 December 2010, showing the assets and liabilities totalling PLN 90,042,441 thousand,c) statement of movements in equity for the financial year from 1 January to 31 December 2010, showing an increase in equity by the amount of PLN 2,806,131 thousand, d) consolidated cash flow statement for the financial year from 1 January to 31 December 2010 showing a decrease in the net funds by the amount of PLN 1,037,957 thousand,e) explanatory notes to the consolidated financial statements,and a report of the Management Board on the operation of the BRE Bank Group for the period from 1 January 2010 to 31 December 2010, are hereby approved.Article 2The Resolution comes into force on the date of its adoption.---------------------------------------------------Resolution No. 24of the 24th Ordinary General Meeting of BRE Bank SAof 30 March 2011.Drafton an amendment to the By-laws of BRE Bank SAPursuant to Article 11 letter e) of the By-laws of BRE Bank, it is resolved as follows:Article 1The following amendments to the By-laws of the Bank are hereby introduced:In Article 6: (2) point 11 is deleted, and consequently the numbering is changed accordingly;the new (3) is added:"3. Brokerage operations consisting in:1) accepting and transferring the orders to acquire or sell financial instruments,2) acquiring or selling financial instruments on own account,3) offering financial instruments,4) providing services in performing the concluded agreements on investment underwriting or placing agreements or in conclusion or performance of other agreements of this kind if their subject matter is related to financial instruments."the new (4) is added:"4.
