30.03.2011 Current report No.18/2011The Management Board of BRE Bank SA announces that on 30 March 2011 the 24th Ordinary General Meeting of BRE Bank SA elected the 10-person Supervisory Board of BRE Bank SA for the joint term of office of three years, composed of:Achim KassowBorn in 1966, a graduate of the University of Cologne, in 1996 obtained a PhD degree.In 1993-2002 worked for the Deutsche Bank Group, since 2001 as a Member of the Management Board of Deutsche Bank 24 AG.Since 2002 in the Commerzbank Group, in 2002-2004 he was the President of the Management Board of comdirect bank AG.Since November  2004 he has been a Member of the Management Board of Commerzbank AG responsible for the Central and Eastern Europe business segment.Andre CarlsBorn in 1963.Deputy Chairman of the Supervisory Board of BRE Bank SA.Upon completion of economic studies and obtaining a PhD degree at the University of Cologne, thanks to an international training programme, in 1990 Andre Carls PhD began to work for Commerzbank.He held positions in the corporate financing and capital markets areas. In 1998-2000 he played a major role in development of the investment banking business line in Commerzbank in London.In 2000 – 2008, Andre Carls PhD was a member of the Management Board of comdirect bank AG, and from 2004 to 2008 hold the position of President of the Management Board of comdirect bank AG.Andre Carls PhD is the President of the Management Board of Commerzbank Auslandsbanken Holding AG based in  Frankfurt.Moreover, he is a member of the Supervisory Board of Joint Stock Commercial Bank Forum (Kiev, Ukraine), Commerzbank (Eurasija), SAO (Moscow, Russia), Commerzbank Zrt. (Budapest, Hungary).Eric StrutzBorn in 1964, studied business administration at the University of Erlangen Nuremberg and the University of St. Gallen, whereas in 1989 he obtained the "lic. oec. HSG" degree. In 1991, Eric Strutz completed the MBA course at the University of Chicago. In 1993 he obtained a PhD degree at the University of St. Gallen and took up job at The Boston Consulting Group, where he was appointed Vice-president, Director and Partner in 2000. A year later he started working for Commerzbank AG, where he held the position of Executive Vice-president for Strategy and Controlling, and in 2003 was appointed Finance Director. Since 2004 he has been Member of the Management Board of Commerzbank AG.Jan SzomburgMember of the Supervisory Board of BRE Bank SA.Born in 1951. Member of the Supervisory Board of BRE Bank since May 1998. He has a PhD degree in economics. Previously he worked as an assistant and then as a lecturer at the University of Gdańsk. At present, he is the President of the Management Board of the Institute for Market Economics. Maciej LeśnyChairman of the Supervisory Board of BRE Bank SA (independent member) Born in 1946. In 1969 he completed studies at the Faculty of Economic Sciences at the Warsaw University. During his professional career he worked for 6 years in the shipbuilding industry in Gdańsk, 8 years for Zakłady Elektronicznej Techniki Obliczeniowej. He worked 22 years in the central state administration, including 8 years in the position of the Under secretary of State: at the Ministry of Foreign Economic Co-operation, the Ministry of Economy (twice), the Ministry of Economy, Labor and Social Policy – recently as the Under secretary of State in the Ministry of Infrastructure. He completed post-graduate studies and training run by universities in the USA: the Michigan University (Business School of Administration) and De Paul University (Chicago). In 1992-1993, as a scholarship holder of the government of the USA he studied at the American University in Washington, DC. During his scholarship he conducted four month training at the World Bank and completed privatization training at the International Monetary Fund. Between March 1994 and 1998 he was appointed as Chairman of the Supervisory Board and then until December 2001 he was the member of the Supervisory Board. Reappointed as Chairman of the Supervisory Board in 2004.Sascha Klauscompleted  Hochschule für Bankwirtschaft (HfB) Frankfurt (Business School of Finance and Management). Including 1 semester of MBA studies at Goizueta Business School – Emory University, Atlanta (USA). He holds the degree Diplom - Betriebswirt (Master of Arts in administration and business).He started his professional career in the Deutsche Bank Group, where he held a number of positions, including for financial institutions, corporate finance and investment banking risk.Since January 2000 to April 2008 he worked for Dresdner Kleinwort in New York, where he held the following positions – in 2000-2001 the Head of the Listed and Structured Products Team, Capital Market Loans – Vice-president. Then, in 2002 he was Head for Capital Market Loans – Director. Next, since February 2003 to April 2008 he was Head for Financial Institutions – of America, Investment Banking Risk Management – Managing Director, also Global Head of the Hedge Funds, Investment Banks and Brokers/Dealers Sector.Since May 2008 to December 2008 he worked for Dresdner Bank AG, Frankfurt /London where he was Head for Portfolio Analysis, Investment Banking Risk Management – Managing Director.Since January 2009 he has worked for Commerzbank AG, Head Office in Frankfurt where he holds the position of the Deputy Head of Risk Management – Investment Banking, Global Head for Non-banking Financial Institutions – Managing Director. In October 2009 he was appointed Global Head of the Group Credit Risk Management – Financial Institutions and Specialist Products – Managing Director.Since March 2010 in  Commerzbank Auslandsbanken Holding AG Frankfurt he has been holding the position of a Member of the Management Board, Head of Risk in the Central and Eastern Europe. He is a Member of the Supervisory Boards of the Commerzbank Group subsidiaries (including BRE Bank SA) and Chairman of the Risk Committee of BRE Bank SA.Teresa MokryszMember of the Supervisory Board of BRE Bank SA (independent member).She graduated from the University of Economics in Katowice in 1978. She is a co-owner of MOKATE. In 1992-1994, she launched instant cappuccino as a new product on the Polish market, and gained a 70% share in the market and has since been a leader in this product category. In 1994-1995 she built a greenfield MOKATE plant in Ustroń and in 2001 her company gave another plant in Żory for use. Thanks to the investment, she introduced the company to the market of half-finished products, and launched new production divisions at MOKATE, equipped with the state-of-the-art technologies. At present, she is leading a group of nine MOKATE companies, out of which five are based abroad. She attaches great importance to exports, its share in turnover is close to 60 per cent. She received the Knight's Cross of the Order of Polonia Restituta. She is the winner of the "Leader of the Decade” title given by Gazeta Wyborcza daily, and the “Success of the Decade” given by the Businessman Magazine. In 2000 the International Foundation for Women’s Entrepreneurial Spirit from Los Angeles awarded her the title of the "the most entrepreneurial woman of the world". She has founded scholarships for skilled young people of limited means, and offered financial support to the health care institutions, welfare institutions, orphanages and schools.Thorsten Kanzler Treasury Director of the Commerzbank AG Group. Thorsten Kanzler has held the positions of a Member of the Management Board for treasury of the Commerzbank AG Group since the beginning of 2009. His scope of tasks includes assets and liabilities management, cash and repo transactions management and capital markets financing. Earlier, since May 2007 he was Director for Treasury and Capital Management of the Dresdner Bank AG Group in Frankfurt am Main.Between 2004 and 2007 he was Director for Treasury of the Group and Member of the Management Board for Corporate and Investment Banking in WestLB AG in Düsseldorf. From 1991 to 2004 Thorsten Kanzler worked for Deutsche Bank AG in various positions in the treasury and risk management area in Frankfurt, New York, Sydney and London. Thorsten Kanzler studied microeconomics (MA thesis on the European banking sector) and mechanical engineering (MSc thesis on industrial production systems) at the University of Technology in Darmstadt (Germany). He obtained the Diplom- Wirtschaftsingenieur (M.Sc. Eng.).Waldemar StawskiMember of the Supervisory Board of BRE Bank SA (independent member).Born in 1958. He studied at the Faculty of Electronics of the Gdańsk University of Technology, Processing and Usage of Electrical Energy, specialization Industrial Energoelectronics, he obtained the M.Sc. Eng. degree in 1983. He completed post-graduate studies in the following fields of study: Accounting and Finance (2009-2010 University of Gdańsk Gdański), Financial Analysis in Business Management (1992-1993 University of Gdańsk), Microprocessors in Energoelectronics and Propulsions (1986-1987 Gdańsk University of Technology), Didactics and Pedagogy (1984-1985 University of Gdańsk/Marine Academy in Gdynia). He holds the Accounting Certificate No.48720/2011 issued by the Minister of Finance certifying his qualifications and authorizing him to provide bookkeeping services. He passed the exam for the candidates for members of supervisory boards at state-owned companies (MPW certificate 8 April 1995). In 1991-2011 he underwent domestic and foreign training on banking, finance and organization. Upon completion of his studies, from 1983 to 1991 he was a scientific worker and a lecturer in marine Academy in Gdynia, in the Institute of Ship Electroenergetics". From 1991 to 1993 in Pomorski Bank Kredytowy SA II/O Gdynia in the Department of Accountancy he was senior specialist for implementation and exploitation of the EPD integrated systems. From 1993 to 1995 he was director of the II Branch of  Pomorski Bank Kredytowy SA in Gdynia. From 1995 to 2000 he was director of the regional Branch in Gdańsk of Powszechna Kasa Oszczędności Bank Państwowy. From 2000 to 2002 in Powszechna Kasa Oszczędności Bank Polski SA he was Vice-president of the Management Board, responsible for managing treasury, corporate clients, capital markets and corporate governance areas. Between June 2002 and February 2003 the Commission for Banking Supervision appointed him Chairman of the Receivership Board at Wschodni Bank Cukrownictwa SA where he prepared and implemented the rehabilitation programme. From 2003 to 2005 he was Member of the Management Board and Advisor to the Management Board of CTL Logistics SA. In 2006 - 2007 he was General Director of the Polish Federation of the Employers of the Transport and Logistics. Since 2006 he has been consultant of ALDAZ Sp. z o.o. From 2007 to 2008 he was Advisor to the Management Board of CTL Logistics S.A.. At present, he is cooperating with Doradztwo Ekonomiczne Dariusz Zarzecki as Director. In 1995-2002 he was engaged in the following teaching activity in the field of banking and finance: he was a member of examination boards according to the System of Standards in Polish Banking of the Foundation for Education and Banking Research in Warsaw and the Gdańsk Academy of Banking in Gdańsk in the scope of controlling in banking and HR management.Marek WierzbowskiMember of the Supervisory Board of BRE Bank SA (independent member).Born in 1946. He is professor at the University of Warsaw, a legal counsel, a partner at Prof. Marek Wierzbowski and Partners - Advocates and Legal Counsellors law firm.Prof. Wierzbowski is a member of the Public Procurement Board, vice chairman of the Board of Giełda Papierów Wartościowych SA (Warsaw Stock Exchange), a member of supervisory boards of several companies and the president of the Court of the Chamber of Brokerage Houses.Professor Wierzbowski was a vice dean of the Faculty of Law and Administration and a vice rector of the University of Warsaw. He used to chair the Stock Exchange Board and was a vice chairman of the Court of Arbitration at the Polish Chamber of Commerce and was member of the National Board for Scientific Degrees and Titles.For many years he was a partner in international law firms: Weil Gotshal & Manges, and Linklaters where he was a senior partner in Warsaw offices of those law firms. He represented the Securities and Exchanges Commission and the Commission for Banking Supervision in proceedings before the Supreme Administrative Court.Prof. Wierzbowski lectured as visiting professor, for at least one semester, at 5 law departments of American universities.According to the information of BRE Bank SA the above-mentioned persons do not conduct any competitive activity towards BRE Bank SA.The above-mentioned persons are not registered in the Register of Insolvent Debtors maintained under the National Court Register Act.Under the criteria applied by the Bank the independent members of the Bank's Supervisory Board are:1/ Mr Maciej Leśny,2/ Ms Teresa Mokrysz,3/ Mr Waldemar Stawski,4/ Mr Marek Wierzbowski.Moreover, on 30 March 2011 the Supervisory Board appointed Mr Maciej Leśny as Chairman of the Board, and Mr Achim Kassow as Deputy Chairman of the Board.
