12.04.2013 Current Report No. 37/2013The Management Board of BRE Bank SA announces that on 11 April 2013, the Supervisory Board of BRE Bank SA appointed the Management Board for a joint five-year term, composed as follows:Cezary Stypułkowski - President of the Management Board, Chief Executive Officer Cezary Stypułkowski holds a PhD in law from the University of Warsaw. In late 1980s he received a Fullbright scholarship and studied in a Business School at the University of Columbia in New York. For thirteen years he headed Bank Handlowy S.A. In 2003, he was appointed to the position of president of the management board of PZU Group, from which he was dismissed in 2006. For three years, along with his associates, he effectively managed PZU Group and tripled its net result and valuation. From 2006 to 2010 he worked for J.P. Morgan in London where since 2007 he acted as Managing Director of the investment bank J.P. Morgan for Central and Eastern Europe. Cezary Stypułkowski was also a member of the Deutsche Bank International Advisory Board, INSEAD International Advisory Board, and Geneva Association. From 1990 to 1991 he participated in a training programme on trading in securities and investment banking at the head office of Dresdner Bank in Frankfurt. From 1991 to 1992 he worked in the Bond Trading Department at Dresdner Bank.From 1996 to 1998 he worked for Oppenheim jr & Cie. KGaA in Frankfurt in the Financial Markets Department where he dealt with transactions on interest rates.From 1998 to 2005 he worked as Managing Director for Corporate Risk in the head office of Commerzbank.Since 2005, Hans-Dieter Kemler has been a member of top management at Commerzbank, responsible for international public finance. Last year he completed the Advanced Management Program (AMP) at IESE Business School. He has been working in corporate banking for over 20 years. From 1993 to 1995 he worked for IBP Bank SA (BRE Bank was one of its shareholders), then for ABN AMRO Bank in Poland, Romania, and in the head office in Amsterdam. From 2002 to 2006, he was Managing Director of Large Corporates Division in BPH Bank SA. From May to November 2006 he was Chief Executive Officer and General Director of Calyon Bank Polska and Calyon Branch in Poland. In November 2006, he took the position of Vice-President of the Management Board of BPH Bank, responsible for corporate banking and real estate financing. As a result of the merger of a part of BPH Bank and Pekao SA, Mr Gdański was appointed as Vice-President of the Management Board, responsible for Corporate Banking, Markets and Investment Banking of Pekao SA. Her major task was to implement a new approach to risk management at KBC Group. Additionally, Lidia Jabłonowska-Luba held the position of Vice-Chairman of the Group Risk Management Committee and Member of the Group Risk and Capital Oversight Committee and ALCO at KBC Group.Before moving to Brussels, Lidia Jabłonowska-Luba served as Vice-President of the Management Board of Kredyt Bank and Advisor to the CEO of Warta S.A. and TUnŻ Warta S.A., acting as Chief Financial and Risk Officer.From 1994 to 2001 Lidia Jabłonowska-Luba was Vice-President of Schroder Salomon Smith Barney Poland, advising a number of clients, financial institutions in particular, on M&A and public equity transactions. In 2002,  Lidia Jabłonowska-Luba joined Citigroup in Poland, first as Head of Financial Institutions & Public Sector Division and since November 2003 as Member of the Management Board in charge of finance and operational risk management, capital management and implementation of the New Capital Accord.Lidia Jabłonowska-Luba graduated from the Mathematics Institute of the University of Gdańsk.To the best knowledge of the Management Board of the Bank, Lidia Jabłonowska-Luba is not involved in any business competitive with the Bank. In 1996 he started work at Bank PBG in the area of Investment Banking, Debt Collection and Restructuring.In 1999 he worked for Bank Pekao SA in the Debt Collection and Credit Restructuring Department. Since 2000 he was the director of the branch of Pekao Bank in Łódź.Since 2004 he has been working for BRE Bank. He served as Director of the Credit Risk Management Department. In 2007 he was appointed as Director of the Multibank Sales and Marketing Department. He holds a certificate of the British Association of Chartered Certified Accountants. In 1996-1998 he worked as a consultant in PricewaterhouseCoopers. He published works on accounting of the National Investment Funds. In 1998, he started to work for Zurich Group. Initially, he was responsible for the organisation and market strategy of the pension fund, and then took over as Marketing Director and Member of the Management Board (co-author of the advertising campaign introducing the Zurich brand on the Polish market). From 2000 he acted as Member of the Management Board responsible for the retail client segment of Zurich Group in Poland, and from 2001 as Chief Financial Officer.By the end of June 2006, he held the position of Member of the Management Board and Chief Financial Officer at Generali T.U.S.A. and Generali Życie T.U.S.A. From 1 January 2003 he was responsible for the financial department, actuarial office, controlling and bancassurance. In 2002, he participated in the process of merging Zurich companies with Generali companies.In July 2006 he was appointed as President of the Management Board of BRE Ubezpieczenia Sp. z o.o., later also as President of the Management Board of BRE Ubezpieczenia Towarzystwo Ubezpieczeń S.A. He was responsible for developing and integrating the insurance programmes offered within BRE Group and for providing process  management services in distributing insurance to external partners. In August 2007 the Supervisory Board appointed Jarosław Mastalerz as Member of the Management Board of BRE Bank SA, Head of Retail Banking, entrusting him with the coordination of all business and communication activities of mBank in Poland, Czech Republic and Slovakia, MultiBank, Private Banking and  Aspiro SA, a company founded during his term of office. During nearly five years of managing the retail banking at BRE Bank, he implemented a number of product and technological innovations (among others in the scope of the credit offer in remote service channels, processes of servicing affluent clients and mobile banking).Since April 2012 Jarosław Mastalerz holds the position of Member of the Management Board of BRE Bank SA, Chief Operation Officer, and is responsible for the area of technology and logistics at BRE Bank, mBank and MultiBank.Jarosław Mastalerz is a member of supervisory boards of the following companies:ASPIRO S.A.,BRE Centrum Operacji Sp.
